Subscription terms for Jentra OSH
These terms are between Jentra Labs Sdn. Bhd. (202601044573 (1706668-M)) and the clinic, company or organisation that subscribes to Jentra OSH. In these terms, "Jentra" and "we" mean Jentra Labs Sdn. Bhd. "The Customer" and "you" mean the organisation that subscribes. Our address is No 20, Jalan Bunga Raya Satu, Kampung Baru, 68100 Batu Caves, Selangor. Our telephone number is +60 10-242 1924. You accept these terms when you join Jentra OSH or subscribe to it. A larger customer may sign them with an order form instead.
- 01
The service
- 1.1 Jentra provides Jentra OSH ("the App") as an online service. Schedule A describes the App.
- 1.2 We may improve the App and change how it looks. We will not remove a main feature you pay for during a paid period without telling you 30 days before.
- 1.3 You get the right to use the App for your own organisation while your subscription is paid. You do not get ownership of the App or its code.
- 02
Accounts
- 2.1 You choose who in your organisation gets an account and what role each person has.
- 2.2 You keep sign-in details private. You tell us at once if you think an account was misused.
- 2.3 You are responsible for what your users do in the App.
- 03
Trial and plans
- 3.1 A new Customer gets a free trial of 3 days. The trial starts when the owner first signs in. Jentra may extend it by telling the Customer in writing. A Customer may pay before the trial ends.
- 3.2 Plans, prices and periods are in Schedule A. A yearly period costs less than 12 monthly periods, as Schedule A shows.
- 3.3 We may change prices for future periods. We tell you at least 30 days before. The new price applies from your next period after that notice.
- 04
Payment
- 4.1 You pay before each period. You pay by bank transfer to the account on our invoice or on the App's payment page.
- 4.2 You then upload the bank receipt in the App or email it to hello@jentra.my. We check it against our bank statement.
- 4.3 Jentra is not registered for SST (sales and service tax). We tell you first if we register. SST is then added to periods that start after the registration date.
- 4.4 Until Jentra's bank account opens, Jentra has appointed ZH Healthcare Sdn. Bhd. (1469895-W) to collect payments on its behalf. A payment to ZH Healthcare Sdn. Bhd. against a Jentra invoice settles that invoice in full. Jentra remains responsible for the App.
- 4.5 We reject a receipt that does not match a payment in our bank statement. We then suspend the account at once under clause 5.2. We check each later receipt first when a Customer's receipt was rejected. That Customer can edit in the App again only after the check.
- 05
Late payment and suspension
- 5.1 The App becomes read-only for 14 days if a trial or paid period ends without payment. Your users can see your data. They cannot add or change it.
- 5.2 We may also suspend an account for a rejected receipt or a breach of these terms. We give the reason in writing. A suspended account is read-only for 14 days.
- 5.3 The account locks after the 14 days. Only the owner can open it. The owner can open it only to export the data or to pay.
- 5.4 Full use returns when you pay the amount due.
- 06
Refunds
- 6.1 You may cancel at any time. Your subscription then runs to the end of the period you paid for.
- 6.2 We do not refund a monthly period once it has started.
- 6.3 We refund a yearly period in full if you cancel it within 14 days of its start. After that, we refund the full months not yet started, at the monthly price, minus the yearly discount you received.
- 6.4 We extend your period by the days lost if the App is not available for more than 3 days in a row because of a fault on our side.
- 07
Your data
- 7.1 You own the data you and your users put into the App ("Customer Data").
- 7.2 We process Customer Data only to run the App for you. We do so under the data processing agreement. That agreement forms part of these terms.
- 7.3 You may have a copy of your Customer Data at any time while the account is active or locked. Schedule A says how.
- 7.4 We keep Customer Data for 90 days after an account locks. We then delete it. We tell you in writing before we delete it. You may ask us to delete it sooner.
- 7.5 Payment receipts and invoices contain personal data such as names and bank account numbers. Malaysian tax and company law requires us to keep them for 7 years. We keep them for that time even after we delete other Customer Data.
- 08
Acceptable use
- You must not use the App for anything unlawful.
- You must not put in data you have no right to use.
- You must not try to read another Customer's data. You must not test the App's security without our written permission. You must not overload the App.
- You must not copy, resell or rebuild the App.
- 09
Availability and support
- 9.1 We aim to keep the App available at all times apart from planned maintenance. We announce planned maintenance in the App or by email at least 24 hours before. We schedule it outside clinic hours where we can.
- 9.2 We give support by email at hello@jentra.my. We reply within 1 working day.
- 9.3 The App runs on cloud services from other companies. The data processing agreement lists them. We are not responsible for their failures beyond clause 6.4.
- 10
Professional judgement
The App is a tool for running your clinic or service. It does not replace the judgement of your doctors, nurses or staff. A qualified person must check any result the App produces before anyone relies on it. This includes any text that AI writes.
- 11
Confidentiality
Each party keeps the other party's confidential information private. Each party uses it only for these terms. This duty continues for 2 years after the subscription ends. The data processing agreement protects Customer Data for as long as we hold it.
- 12
Liability
- 12.1 Our total liability in any 12 months is limited to the fees you paid us in those 12 months.
- 12.2 Neither party is liable for indirect loss, such as lost profit or lost business.
- 12.3 Nothing here limits liability that the law does not allow to be limited.
- 13
Ending the subscription
- 13.1 You may end the subscription at any time under clause 6.
- 13.2 We may end it with 30 days of written notice. We then refund any full months already paid and not yet started.
- 13.3 We may end it at once if you seriously breach clause 8. We may also end it at once if you do not pay within the 14 read-only days.
- 14
General
- 14.1 We may update these terms. We tell you about a new version by email and by a message in the App. We tell you at least 30 days before a change that affects you. You accept the terms again only when a change is material. If you do not accept it, you may cancel and we refund the full months not yet started.
- 14.2 Notices go by email. Notices to Jentra go to hello@jentra.my. Notices to you go to the owner's email address on the account.
- 14.3 The laws of Malaysia govern these terms. The courts of Malaysia hear any dispute.
Schedule A. Jentra OSH
- A1
What it does
Jentra OSH keeps records and prepares reports for occupational health service providers. It covers workers, audiometry, medical surveillance and the reports DOSH asks for.
- A2
Data it keeps
Jentra OSH keeps workers' personal and health data. This is sensitive personal data under the Personal Data Protection Act 2010 (PDPA). The Customer must have each worker's consent.
- A3
Trial
- The trial lasts 3 days. Jentra may extend it in writing under clause 3.1.
- The Customer and Jentra sign the data processing agreement before the trial starts. The trial uses real worker data.
- Jentra creates the Customer's own Google Cloud project and gives the training during the trial.
- Jentra copies the Customer's existing records from another system only after the Customer pays the first payment and the agreed data migration fee.
- Jentra also shows the App on its demo environment. The demo environment contains made-up data.
- A4
Plans
The price depends on the number of workers the Customer tests in a rolling 12 months.
- The Starter plan costs RM 199 a month for up to 1,000 workers.
- The Standard plan costs RM 449 a month for up to 3,000 workers.
- The Professional plan costs RM 899 a month for up to 8,000 workers.
- Jentra prices more than 8,000 workers by quotation.
- One plan covers one Customer with all its sites and mobile units.
- Each plan has every feature, any number of staff accounts and the employer portal for the Customer's employer clients.
- A5
Workers counted
- A worker counts when the Customer records a test or exam for them in the App: an audiogram, a USECHH Form 4, a medical exam or a confined space form.
- Each worker counts once in a rolling 12 months, however many tests or exams they have.
- Repeat and confirmation tests add nothing.
- Records copied in from another system do not count.
- A6
The count
- Jentra counts at the start of each period. On a yearly period Jentra also counts at the start of month 7.
- Jentra emails each count to the owner. The owner may ask for the count at any time.
- Jentra counts workers only. Jentra does not open their records.
- A7
Over the limit
- Jentra never locks the App for going over a limit. Jentra tells the owner by email.
- On a monthly period, the next period is on the plan that fits the count.
- On a yearly period, the Customer pays the difference between the two yearly prices for the full months left, starting from the month after the email.
- A8
Moving up
- The Customer may move up at any time. The owner asks by email to hello@jentra.my.
- On a monthly period, the higher plan starts with the next period.
- On a yearly period, the higher plan starts at once. The Customer pays the difference between the two yearly prices for the full months left.
- A9
Moving down
- The Customer may move down from the start of the next period. Jentra does not refund the current period.
- If the count later goes over the lower plan's limit, section A7 ("Over the limit") applies.
- A10
Monthly and yearly
- A Customer may switch between monthly and yearly from the start of the next period.
- A11
Yearly
- A yearly period costs 20% less than 12 monthly periods.
- The yearly prices are RM 1,910 for Starter, RM 4,310 for Standard and RM 8,630 for Professional.
- A12
Set-up
- Set-up costs nothing.
- Jentra creates the Customer's own Google Cloud project and gives a 2-hour training session.
- A13
Data migration
- Data migration is optional. Jentra copies the Customer's existing records into the App for a fee that the Customer pays once.
- The fee starts at RM 1,500. Jentra first checks a sample of the Customer's records free of charge. Jentra then quotes a fixed fee in writing before any work starts.
- The fee depends on the number of records, how they are kept and how much cleaning they need.
- Jentra declines the work in writing when it cannot read the records. Jentra then charges nothing. Jentra cannot migrate records kept only on paper or as scanned images.
- Jentra sends a report before it loads the records. The report lists each worker whose baseline test is unclear. The Customer's occupational health doctor (OHD) decides each one.
- The fee includes one re-run within 30 days if the Customer finds an error in Jentra's copy.
- A yearly plan does not waive this fee. Jentra does not refund the fee once it has loaded the records.
- A14
Missed payment
- Jentra sends each invoice 14 days before the period starts and a reminder 3 days before it ends.
- A Customer that has sent its bank receipt keeps full use while Jentra checks it.
- During the read-only days (clause 5.1), staff can still see, print and export records. The employer portal stays open.
- An OHD can still sign a result that was entered before the read-only days began. This keeps a DOSH notification from being delayed.
- A15
AI features
AI features are off. Jentra turns them on only when the Customer agrees in clause 4.3 of the data processing agreement.
- A16
Export
Jentra exports the data by hand. Jentra sends the data as CSV files and PDF reports within 14 days of a written request.
- A17
End of a subscription
- Jentra sends the owner a full export within 14 days when an account locks or a subscription ends. The owner does not need to ask for it.
- The 90 days in clause 7.4 start only after Jentra sends that export.
- The law may require the Customer to keep workers' health records for many years after a test. The Customer keeps the export for that time.
- A18
Other customers
Jentra keeps each Customer's data in its own Google Cloud project. No other Customer can see it. This includes Jentra's OSH partner.
- A19
Hosting region
Jentra hosts the App on Google Cloud in Singapore (region asia-southeast1). Jentra keeps each Customer's data in its own Google Cloud project.
- A20
Payment
Until Jentra's bank account opens, you pay ZH Healthcare Sdn. Bhd. (1469895-W) as Jentra's collecting agent under clause 4.4. ZH Healthcare Sdn. Bhd. issues the official receipt. After the account opens, you pay Jentra Labs Sdn. Bhd. directly into Jentra's own bank account.
- A21
Jentra staff and worker records
Only your staff and the employers you share reports with see your workers' records. Jentra staff open them only to give the support you ask for, or to fix a fault that stops the App working.
